SENATE CONCURRENT RESOLUTION NO. 50

Requesting the joint committee on government and finance to make a
study of the uniform limited liability company act and the
formation and feasibility of limited liability companies for
professionals and limited liability partnerships.
Whereas, Since the enactment of the West Virginia limited
liability company act, the national conference of commissioners on
uniform state laws has adopted a uniform limited liability act; and
Whereas, Many states have enacted statutes allowing
professionals to organize as limited liability companies; and
Whereas, At least twenty states, including all of the states
contiguous to the state of West Virginia, have enacted statutes
allowing the formation of limited liability partnerships; therefore
be it
Resolved by the Legislature of West Virginia:
That the joint committee on government and finance is hereby
requested to review, examine and study the uniform limited liability company act, limited liability companies for
professionals and limited liability partnerships and the
desirability and need for enacting such legislation in West
Virginia; and be it
Further Resolved, That the joint committee on government and
finance report back to the Legislature with their findings on or
before the first day of January, one thousand nine hundred ninety-
six; and, be it
Further Resolved, That the Clerk of the Senate is hereby
requested to forward a copy of this resolution to the president of
the Senate, the speaker of the House and the governor of the state
of West Virginia.
